    Cancellation of Listing

    VTech Holdings Limited (the "Issuer") wishes to announce that they have applied to the Financial Services Authority, in its capacity as
United Kingdom Listing Authority, to cancel the listing on the Official List of the United Kingdom Listing Authority of the following
securities issued by it with effect from (and including) 7 October 2008:

    1,281,448 ordinary shares

    On 5 September 2008, a Special General Meeting was convened and the shareholders approved the delisting. The Board of Directors (the
"Board") has considered the benefits of the Shares being listed on two publicly traded stock exchanges and after due and careful
consideration, are of the view that the Company no longer requires to maintain a listed status on the Official List of the London Stock
Exchange ("LSE") as the volume of trading of the Shares on LSE is very limited whereas the compliance costs and administrative burden are
relatively significant in maintaining the Company's listed status on LSE. As the Company will continue to maintain its primary listing in
Hong Kong, it is of the view that the dispensation of such additional costs and burden will enable it to focus its resources on the business
operations of the Company.
