Item 1.01 Entry into a Material Definitive Agreement

On December 30, 2016, New Jersey Mining Company, Inc. (the “Company”) granted a total of 900,000 options to purchase the Company’s common stock to directors and officers as compensation for past and future services rendered.  Monique Hayes was granted 150,000 options and Delbert Steiner, John Swallow and Grant Brackebusch were each granted 250,000 options, of which 450,000 vested immediately and 450,000 vest on December 29, 2017.  The options are exercisable for a period of three years from their grant dates (December 31, 2019 respectively) at a price of $.15 per share.

Item 7.01 Regulation FD Disclosure.

On January 4, 2017, the Company issued a press release entitled “New Jersey Mining Provides Operations, Development, and Rehabilitation Update at Its Golden Chest Mine Project.”  A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.
