Notice
of Delisting or Failure to Satisfy a Continued Listing Rule or Standard;
Transfer of Listing.

On
July
9, 2008, HydroGen Corporation (the “Company”) received a Nasdaq Staff Deficiency
Letter (the “Deficiency Letter”) indicating that the Company has failed to
comply with the minimum bid price requirement for continued listing on the
The
Nasdaq Stock Market set forth in Marketplace Rule 4310(c)(4) for thirty (30)
consecutive trading days. The Deficiency Letter further stated that, in
accordance with Marketplace Rule 4310(c)(8)(D), the Company has until January
6,
2009 to regain compliance.
On
July
15, 2008, the Company issued a press release announcing that it had received
a
Nasdaq Staff Deficiency Letter indicating that the Company has failed to comply
with the minimum bid price requirement for continued listing. A copy of the
press release is attached hereto as Exhibit 99.1 to this Current Report and
is
incorporated by reference herein.
The
