Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 15, 2023, the board of directors (“Board”) of Coliseum Acquisition Corp. (the “Company”) increased the size of the Board from four to five directors and appointed Charles Wert to fill the resulting vacancy. Mr. Wert will serve as a Class III director with a term expiring at the Company’s third annual meeting of stockholders. Mr. Wert has served as the Company’s Chief Executive Officer since July 25, 2023. Mr. Wert previously executed the Company’s standard form of indemnity agreement for directors and officers, which is described in the Current Report on Form 8-K filed by the Company with the Securities and Exchange Commission on July 27, 2023. Mr. Wert does not have any direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.
