( 1)  The transactions on 11/04/2008 and 11/07/2008, respectively, are reported on an aggregate basis. All purchases on 11/04/2008 and 11/07/2008 of Westaff, Inc. common stock were made at the purchase price of $0.41 per share of common stock. The Reporting Persons undertake to provide upon request by the Commission staff, Westaff, Inc., or a securityholder of Westaff, Inc. full information regarding the number of shares purchased in each transaction.
( 2)  This report is filed jointly by the Sorensen Trust, D. Stephen Sorensen and Shannon P. Sorensen. The Sorensen Trust is a California trust. These shares are owned directly by the Sorensen Trust, and indirectly by Mr. and Mrs. Sorensen as settlors and sole trustees of the Sorensen Trust. Mr. and Mrs. Sorensen are citizens of the United States of America.
