Pursuant to our obligations under the Listing Rules, we hereby advise you that
we have today received a notification from Morgan Stanley Securities Limited
that they and the group companies which are direct or indirect holding companies
of Morgan Stanley Securities Limited, now hold a notifiable interest in the
share capital of AMEC plc of 12,296,983 shares, representing 4.09% of the issued
share capital of the Company.

Morgan Stanley had previously notified an interest of 11,929,762 shares on 19
January 2004, which at that time represented 3.97% of the issued share capital.
