Eaton Vance Tax-Advantaged Dividend Income Fund Annual Meeting of Shareholders

BOSTON, June 19 /PRNewswire-FirstCall/ -- At a meeting held today,
shareholders of Eaton Vance Tax-Advantaged Dividend Income Fund
(the "Fund") (NYSE:EVT), a closed-end investment company, voted to
elect Benjamin C. Esty as a Class I Trustee of the Fund to serve
until 2010, to coincide with the term of office of his class; and
Ronald A. Pearlman, Helen Frame Peters and Ralph F. Verni as Class
III Trustees of the Fund, each for a three-year term. The Fund's
other Class I and Class II Trustees, who serve staggered terms,
were not up for election and remain in office. The Fund is managed
