NW Tech Capital, Inc. (Formerly Known as Cybertel Capital Corporation) Signs a Definitive Acquisition Agreement to Purchase Tele

VANCOUVER, WA and PORTLAND, OR (OTCBB: NWTT) Board of Directors
has announced the Company has signed a definitive acquisition
agreement to acquire the Portland, Oregon based telecommunications
company TeleDigit, Inc. Under the stock exchange transaction NW
Tech Capital will acquire 100% ownership of TeleDigit, Inc. as a
subsidiary of NW Tech Capital.
"Over the past ten years TeleDigit has had progressive growth
every year and we look forward to its continued growth in the
future," states Jim Wheeler, CEO of NW Tech Capital. "The
acquisition will add to NW Tech Capital TeleDigit's existing
business which will produce approximately 1.75 million dollars in
revenue for 2007." Jim Wheeler, CEO of NW Tech Capital, also
states: "The revenues are up approximately 11% from what we thought
they would be when we signed the letter of intent in December and
we continue to be pleased with the TeleDigit results."
The transaction will include a business and funding plan to
expand the growth of TeleDigit, Inc.'s current service offerings,
as well as to introduce additional service offerings to the
existing market that TeleDigit, Inc. provides, such as Data and
Wireless networking and integration and engineering, providing a
full scope of Telecommunication and Data networking services to
include: Voice Over IP (VoIP), Telecom and data equipment sales and
service, Wireless equipment sales and service, including
integration and engineering services.
The closing date of the agreement is subject to the approval of
a qualified PACOB certified public auditor. We believe that the
audit should get under way within the next two weeks. Complete
details of the transaction will be filed in the form of an 8K
within the next week.
