resignation of a Guarantor in relation to its
11.00 per cent. Final Repayment Subordinated
Notes due 2025 (ISIN: GB00BFXW0630) (the Final Repayment
Notes),
Instalment
Repayment Subordinated Notes having their last payment date in 2025
(ISIN: GB00BFXWHQ29) (the Instalment Repayment Notes) and
£350,000,000 6.250% per cent. Guaranteed Notes due 2026 (ISIN:
XS0629974352) (the 2026 Notes and, together with the Final
Repayment Notes and the Instalment Repayment Notes, the
Notes)
Pursuant to Condition 4.4 of the Conditions of
the Final Repayment Notes, Condition 4.4 of the Instalment
Repayment Notes and Condition 3.3 of the Conditions of the 2026
Notes, notice is hereby given that Co-op Funeral Plans Limited has
been released as a Guarantor in respect of the Notes from and as at
29 November 2024.
Capitalised terms used in this announcement but
not defined herewith have the meanings given to them in the two
trust deeds each dated 20 December 2013 between, inter alios,
Co-operative Group Limited and Law Debenture Trustees Limited as
trustee and the trust deed dated 25 May 2011 between, inter alios,
Co-operative Group Limited and BNY Mellon Corporate Trustee
Services Limited as trustee (the Trust Deeds).
