EBT Market Purchase
Programme
Further to the announcements on 1
and 2 August 2024, AO World PLC ("AO" or the "Company") confirms
that Apex Financial Services (Trust
Company) Limited (the "Trustee"), as
Trustee of the AO World Employee Benefit Trust (the "EBT") has
continued the market purchase of ordinary shares
of £0.0025 each in AO World PLC ("Shares") (the "EBT
Market Purchase Programme").
The Company was notified on 5 August
2024 that the EBT has purchased a further 434,602 Shares and has
now concluded the EBT Market Purchase Programme.

These Shares will be held in the EBT
and will be used to satisfy employee share-based awards. The EBT is
a discretionary trust for the benefit of the Company's employees.
The purchase of Shares by the EBT has been funded by a gift from
the Company.
Following this transaction, a total
of 11,378,490 Shares (representing 1.96% of the Company's issued
share capital) are held unallocated, by the EBT.
The issued share capital in the
Company remains unchanged at 580,303,475 Shares. No
treasury shares are held by the Company.
