                                  Board Change


The Board of Carter & Carter Group plc (the "Company"), the leading provider of
learning solutions and outsourced support services, wishes to announce that
Peter Marples will resign from the Board and his role as Group Director of
Business Development on 30 June 2007.  He has agreed to take a substantive
consultancy role with the Company to support the Group's future strategic
development.


Rodney Westhead, Chairman and Interim Chief Executive, commented "Peter has made
a significant contribution to the development of the business over the past two
years and the Board fully understands that Peter now wishes to spend more time
with his family. The substantive consultancy role he will have with the business
will enable the Group to continue with its development, particularly regarding
college partnerships and overall strategic relationships with Government. I wish
to record our appreciation for the valuable contribution he has made to the
Board and the business."


Mr Marples previously received a conditional award over 300,000 shares under the
Group's long term incentive plan scheme following the acquisition of the Assa
Training & Learning group of companies.  The Company has agreed to allow Mr
Marples early exercise of options over 200,000 of these 300,000 shares following
his resignation as a director of the Company. The remaining 100,000 of these
300,000 shares will continue to be subject to the terms of the original award
and related options may vest to Mr Marples after 31 December 2008 accordingly.
