Director/PDMR Shareholding

Lincat Group plc ("Lincat" or "the Company")

The Company announces that, following the offer made for the Company by Middleby Holding UK Ltd ("Bidco") as described in the circular sent to shareholders of the Company on 11 April 2011 (the "Offer"), certain directors disclosed to the Company today that they have transferred ordinary shares of ten pence each in the capital of the Company to their spouses for nil consideration as described below:

All the shares referred to above are subject to irrevocable undertakings in favour of Bidco in respect of the Offer. Terry Storey, Steve Mitchell and Isabella Storey previously entered into irrevocable undertakings in favour of Bidco on 22 March 2011 on the terms described in the circular referred to above. In addition, Patricia Mitchell has also now entered into an irrevocable undertaking in favour of Bidco on similar terms to those other irrevocable undertakings, to the extent that such terms remain applicable, in respect of the shares transferred to her.
