                       Retec Digital PLC (the "Company")                       

The Company was notified on 7 May 2008 that Goose Investments Ltd, a company
owned and controlled by Sir Brian Ivory, Chairman of the Company, and by his
brother Ian Ivory, has reduced its shareholding by 200,000 ordinary shares
through the transfer of 100,000 shares to Sir Brian Ivory and 100,000 shares to
Ian Ivory.

As a result, Sir Brian Ivory's beneficial interest in the share capital of
Company is 2,050,000 ordinary shares representing 1.63% of the issued share
capital of the Company.
