THERAPEUTIC ANTIBODIES INC.

The Company was informed on June 30, 1998 that on that day Dr. Harry Browne
exercised 197,500 options at USD 1.25 per share.  In lieu of a cash payment to
the company for the exercise of the options, Dr. Browne exchanged 104,167
common shares valued at USD 2.37 per share.

On the same day Dr Harry Browne was granted options over 100,000 shares of
Common Stock at USD 2.40 per share for nil consideration exercisable between
30 June 1998 and 30 June 2008.

Dr Browne's resultant beneficial holding in shares of common stock is now
215,622, and the total number of shares over which Dr Browne holds options is
115,000.
