Termination of a Material Definitive Agreement.

On February 4, 2025, Bionano Genomics, Inc. (the “Company”), provided notice of its termination,
effective February 14, 2025, of that certain Sales Agreement, dated as of March 23, 2021, as amended March 9, 2023 (the “Sales Agreement”), by and among the Company and Cowen and
Company, LLC (“Cowen”). As previously reported, pursuant to the terms of the Sales Agreement, the Company could offer and sell shares of its common stock, par value $0.0001 per
share, having aggregate offering sales proceeds of up to $200,000,000 (the “Shares”), from time to time through an “at the market” equity offering program under which Cowen would
act as agent and/or principal (the “ATM Program”).
