Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

On December 1, 2023, Michael Kalb gave notice of his resignation from his position as Chief Financial Officer of Impel Pharmaceuticals Inc. (the “Company”) with his last day to be December 31, 2023. Mr. Kalb’s resignation was not the result of any disagreement with the Company on any matter relating to its operations, policies or practices.
