The Company is unable to file, without unreasonable effort or expense, its Quarterly Report on Form 10-Q for the period ended September 30, 2021. Additional time is needed for the Company to compile and analyze supporting documentation in order to complete the Form 10-Q and in order to permit the Company’s independent registered public accounting firm to complete its review. In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, the Company will file its Form 10-Q no later than the fifth calendar day following the prescribed due date.

The registrant anticipates a significant change in its results of operations for the quarter ended September 30, 2021, as compared to the quarter ended September 30, 2020, as the company had significant derivative liability calculations during the quarter ended September 30, 2021 and a reasonable estimate of the results of operations could not be made as of the current date because the registrant’s accountants are still reviewing the derivative liabilities and registrant’s results of operations.
