("Hamworthy" or the "Group")

Recommended Acquisition of Hamworthy plc ("Hamworthy") by Wartsila Technology Oy Ab ("Wartsila"), a wholly-owned subsidiary of Wartsila Corporation (the "Acquisition")

Scheme Effective

Further to the announcement dated 30 January 2012, the directors of Hamworthy and Wartsila are pleased to announce that the Court Orders relating to the Scheme of Arrangement and associated Reduction of Capital have now been delivered to the Registrar of Companies, and accordingly the Scheme has now become effective in accordance with its terms.

With effect from 8.00 a.m. today, the trading in Hamworthy Shares on the London Stock Exchange's market for listed securities and the listing of Hamworthy Shares on AIM has been cancelled.

The latest date for despatch of cheques and crediting of CREST accounts for Cash Consideration due under the Scheme will be 14 February 2012.

Terms defined in the scheme document published by Hamworthy on 13 December 2011 (the "Scheme Document") shall have the same meaning(s) when used in this announcement.
