This Schedule 14D-9C filing consists of the following communications
related to the proposed acquisition of Marinus Pharmaceuticals, Inc., a Delaware corporation (the “Company”), by
Immedica Pharma AB, a corporation organized and existing under the laws of Sweden (“Parent”), and Matador Subsidiary,
Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Purchaser”), pursuant to the terms of the Agreement
and Plan of Merger dated December 29, 2024 (the “Merger Agreement”), among the Company, Parent and Purchaser.
