The securities to be registered hereby are depositary shares (the “Depositary Shares”), each representing a 1/1,000th interest in a share of 7.375% Fixed-Rate Non-Cumulative Preferred Stock, Series D, par value $1.00 and $25,000 liquidation preference per share (the “Preferred Stock”), of American National Group Inc. (the “Registrant”). Incorporated by reference herein are the descriptions of the Depositary Shares and the underlying Preferred Stock contained under the headings “Description of the Depositary Shares” and “Description of the Series D Preferred Stock”, respectively, in the Registrant’s prospectus supplement, dated January 7, 2025, to the prospectus, dated August 30, 2024, included in the Registrant’s registration statement on Form S-3 (File No. 333-281155), filed with the Securities and Exchange Commission under the Securities Act of 1933, as amended.
