Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Resignation of Chief Commercial Officer

 

On December 2, 2024, Richard Kim notified Avadel Pharmaceuticals plc (the “Company”) that he will step down as Chief Commercial Officer effective as of December 31, 2024. In connection with such resignation, the Company and Mr. Kim have agreed to a form of separation and release agreement consistent with the terms of his employment agreement. Mr. Kim will also be eligible for 2024 incentive compensation.
