(1)  Represents dividend equivalent rights that accrued with respect to deferred stock unit awards previously reported under Table 1, which were granted pursuant to the Versum Materials, Inc. Long-Term Incentive Plan and the terms of the applicable award agreement, and deferred under the Issuer's Deferred Compensation Program for Directors. The dividend equivalent rights will be settled along with the deferred stock units to which they relate.
