Notice of Result of the Extraordinary
General Meeting of the Sub-Fund
Dear Shareholder
We are writing to inform you that the following
ordinary resolution was passed at an Extraordinary General Meeting
of the Shareholders of the Sub-Fund held at 55 Charlemont Place,
Dublin D02F985, Ireland on 8 August 2024 at 11:00
am:
1. That the
amendments to the investment objective and policy of the Sub-Fund
as set out in the circular to the Shareholders of the Fund dated 17
July 2024 be and are hereby approved.
The amendments to the investment objective and
policy of the Fund as approved by way of ordinary resolution at
today's EGM are as follows:
1. The
investment objective of the Sub-Fund will be amended so that the
Sub-Fund will seek to achieve capital growth over the medium to
long term; and
2. The
Sub-Fund will no longer promote, among other characteristics,
environmental and social characteristics. The Fund will disclose
under Article 6(1), rather than Article 8(1), of EU Regulation
2019/2088 of the European Parliament and of the Council of 27
November 2019 on sustainability-related disclosures in the
financial services sector, as amended, following implementation of
the changes.
In addition, as a result of these changes, the
name of the Sub-Fund will be amended to "Global Balanced Fund UCITS
ETF" and the Sub-Fund will be actively managed by North Atlantic
Investment Services Limited.
Subject to approval by the Central Bank of
Ireland, the proposed changes are scheduled to take
effect and reflected in a revised Supplement to be
dated on or around 29 August 2024 (the Effective
Date).
Copies of the revised Supplement reflecting the
above changes will be available on request after the Effective
Date, free of charge at the registered office of the ICAV or at the
offices of the foreign representatives.
