TOTAL VOTING RIGHTS
In accordance with the Financial
Conduct Authority's Disclosure Guidance and Transparency Rules
("DTR") 5.6.1.R, the Company notifies that, as of 30 September
2024, the Company's share capital consists of 140,572,122 ordinary
shares of 25 pence each ("Shares"), with each share carrying the
right to one vote.
The Ebiquity plc Employee Benefit Trust holds
3,628,371 Shares to satisfy awards under the Company's share option
plans. The trustee of the EBT has agreed not to vote Shares
held by it such that these Shares are treated as not carrying
voting rights.
The total voting rights in the Company are
therefore 136,943,751. This figure may be used by
shareholders as the denominator for calculations to determine if
they are required to notify their interest in, or a change to their
interest in, the share capital of the Company under the DTR.
